1. PRINCIPLE: These Terms apply to IrishMetro Organisation, IrishMetro Mobile Applications, IrishMetro websites in Ireland and other countries as may be legally applicable.
Our business operation enable you to request services from Third Party Providers or directly from IrishMetro. These services are provided or made available under IrishMetro's brands, including, but not limited to, IRISHMETRO WEBSITE DEVELOPERS, IRISHMETRO RESTAURANTS NEWSLETTER and IRISHMETRO ORDER REFERRALS.
For Third Party Services, you are contracting directly with Third Party Providers and IrishMetro acts as an agent to enables you to request and receive those services.
2. TERMS AND CONDITIONS: Please read these Terms carefully. They include information about us, our services, your rights, and other important information.
3. ABOUT US: IrishMetro is established in the Republic Of Ireland to support and continue to help Irish restaurants cut costs of operations without compromising their quality of service to the general public. We basically engage in the following 5 areas of service:
1. Publisher Of Restaurants Directory in Ireland.
2. Distribution Of Digital Menu Leaflets.
3. Conducting Food Order Referrals for over 8,500 Restaurants in Ireland.
4. Publication of Irish Restaurants Newsletter.
5. Helping Irish Restaurants create, update and maintain their websites.
4. DEFINITIONS: “Public Guidelines” mean the guidelines, as updated from time to time which set out expectations of all users of the App(s) and/or Website(s).
5. TERMS:
5.1 Overview: These terms cover your access and use of IrishMetro mobile applications and/or websites (the “Terms”). You must read carefully and agree to the Terms prior to accessing and using IrishMetro's mobile applications and/or websites. Your acceptance of these Terms establishes a legally binding agreement between you and IrishMetro. If you do not agree to these Terms, you may not access or use IrishMetro mobile applications and/or websites.
5.2. These Terms apply to the extent they do not conflict with any user and supplemental terms that specifically apply to IrishMetro's mobile applications and/or websites. You will be asked to agree to any such terms separately.
6. YOUR OBLIGATIONS:
6.1. Using This Website: When using the App(s)/Website(s) Services, you must comply with all applicable laws. You may only use the App(s)/Website(s) Services for lawful purposes and for the purposes for which they were intended as otherwise referenced in these Terms. You must not misuse IrishMetro's mobile applications and/or websites or attempt to defraud either us or Third Party Providers.
7. YOUR ACCOUNT: Your account is personal to you. It cannot be licensed or shared unless expressly permitted by IrishMetro. Once you have set up an account, you may not register more than one account unless we agree otherwise in writing may not allow third parties to use your account or transfer your account to a third party.
7.1 You must keep your account information accurate, complete and up-to-date.
7.2 You must keep your login details confidential at all times and must tell us immediately if you have any reason to believe that someone else knows your username or password or if you suspect that someone else is using your account.
8. FEES AND CHARGES: You will be responsible for paying any fees or charges that may be incurred as a result of the provision of our services to you.
9. REGISTRATION FEE: Since majority of our services are provided free of charge or at the lowest possible costs to you, IrishMetro is therefore obliged to charge You the Account Owner who is also a registered User of our services, a fixed Registration Fee annually.
You the Account Owner who is also a registered User of these services are obliged to pay the Registration Fee which helps us cover our administrative expenses as we discharge our services to you.
10. PAYMENT PROCESSING: This clause applies to payment that change hands between You the vendor and your Customer. IrishMetro does not and will not interfere nor process payments between Restaurant and their Customer. we do not and will not collect or request any percentage of any income you make from customers referred through our website.
11. REFERRAL COMMISSION: IrishMetro does not receive nor seek to collect any commission on Food Order Referrals that took effect from this website.
12. FOOD ORDER AND DELIVERY: IrishMetro will only refer customers to restaurants/vendors. We do not render Food production, kitchen services or Food Order Delivery services. For clarity -- It is the responsibility of the restaurant concerned to acknowledge orders, accept orders or not, and deliver orders using their own means of delivery mobility.
13 INDEMNITY: You agree to indemnify, defend (at our option) and hold us and our respective officers, directors, and employees harmless from and against all claims, liabilities, expenses, damages, penalties, fines, social security contributions and taxes arising out of or related to a breach of these Terms, breach of applicable law or third party claims directly or indirectly related to your use of the Third Party Services,

DISCLAIMER: Disclaimer We provide all IrishMetro Services including App(s)/Website(s) Services “as is” and “as available.” The App(s)/Website(s) Services may be subject to limitations, delays, and/or other problems inherent to the use of the internet and electronic communications and are not guaranteed to be available or error free at all times.
15. LIMITATION OF LIABILITY: Nothing in these Terms limits and excludes any liability which cannot legally be limited or excluded, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation or alter your rights as a consumer that cannot be excluded under applicable law.
16. OUTSTANDING BALANCES ON TERMINATION: You must immediately pay any outstanding charges due to IrishMetro, Third Party Providers upon termination. Any such charges will survive termination and we reserve all rights to collect payment after termination.
17. GENERAL: IrishMetro may change these Terms from time to time. We will inform you of changes within a reasonable time period. You will be bound by such changes upon their notification to you. If you do not agree with these changes, you are free to close your account.
17. 1. The invalidity of any clauses in these Terms does not affect the validity and enforceability of the rest of these Terms. Any such invalid, illegal or unenforceable clause shall be deemed deleted.
17.2. We may assign, subcontract or transfer these Terms or any of our rights or obligations in them, in whole or in part, without your prior consent, provided this will not lead to a reduction of the rights you are entitled to by virtue of these Terms or by law.
17.3. You may not assign, subcontract or transfer these Terms or any of our rights or obligations, in whole or in part, as your use of the IrishMetro’s mobile applications and/or websites is personal, unless agreed otherwise.
17.4. There are no third party beneficiaries to these Terms except as provided for in these Terms.
18. REPORTING CONTENT: Eligible consumers can also submit complaints about our Services or these Terms to the European Commission’s online dispute resolution platform accessible here pursuant to the Regulation (EU) No 524/2013 of 21 May 2013. IrishMetro does not commit to using an online dispute resolution platform to resolve consumer disputes.
19. GOVERNING LAW AND JURISDICTION: These Terms shall be exclusively governed by and construed in accordance with the Law Of Republic Of Ireland.
